Agreement to These Terms
These Website Terms and Conditions (“Terms”) govern access to and use of the website operated by Vigilant Construction Group (“VCG,” “Company,” “we,” “us,” or “our”), including related online features and content that expressly link to these Terms (collectively, the “Site”).
By using the Site, you agree to these Terms to the extent a binding agreement is formed under applicable law. If you do not agree, discontinue use of the Site. You may save or print a copy for your records.
Section 15 includes a binding arbitration provision and an individual-action requirement for certain website disputes. Please review it carefully. These Terms do not replace a signed construction or professional-services agreement.
Contents
1. Website Purpose & Construction Services
The Site provides general information about VCG, its residential and commercial construction capabilities, project-management services, project examples, and methods of contacting the Company.
Website content is provided for informational and marketing purposes. It does not constitute a binding proposal, guaranteed estimate, construction contract, professional-design opinion, project acceptance, or commitment to perform work.
Submitting an inquiry, requesting an estimate, uploading plans, or communicating through the Site does not create a construction or professional-services engagement. Any engagement requires project evaluation and an appropriate written agreement executed by authorized parties.
Project scope, pricing, payment obligations, scheduling, warranties, change orders, permits, inspections, insurance, and responsibilities are governed by the applicable project agreement and controlling law. Website descriptions do not establish licensure or authorization in a jurisdiction unless expressly stated and current.
2. Intellectual Property & Permitted Use
The Site’s original text, layouts, branding, graphics, photographs, videos, software, and other materials (“Content”) are owned by or licensed to VCG, except where otherwise identified. Company names, logos, slogans, and other brand identifiers (“Marks”) remain the property of their respective owners.
Subject to these Terms, you may access the Site and download or print reasonable portions of publicly available Content for personal use or internal business evaluation. Preserve copyright and other proprietary notices.
Except as permitted by law or authorized in writing, you may not reproduce, republish, distribute, modify, sell, license, or commercially exploit the Content or Marks. You may not imply VCG’s sponsorship, endorsement, or affiliation without authorization.
Plans, specifications, photographs, and other materials belonging to clients or third parties remain subject to their owners’ rights. Their appearance on the Site does not grant permission to reuse them.
Requests for permission may be sent to admin@vigilantconstruction.group.
3. Eligibility & User Responsibilities
The Site is intended for adults age 18 or older. By submitting an inquiry or otherwise acting on behalf of a business, property owner, or other person, you represent that you have authority to do so.
You agree to provide information that is accurate and complete to the best of your knowledge, comply with applicable law, and use only materials you are authorized to submit. If account-based features are offered, you are responsible for protecting your credentials and notifying VCG of suspected unauthorized access.
4. Prohibited Activities
You may not use the Site to:
Commit fraud, impersonate another person, or submit intentionally false or misleading information.
Access accounts, systems, or nonpublic information without authorization.
Introduce malware, bypass security controls, or disrupt the Site or connected systems.
Send spam, unsolicited advertising, or abusive or threatening communications.
Infringe intellectual-property, privacy, publicity, or other legal rights.
Collect personal information for unauthorized marketing or other unlawful purposes.
Scrape or systematically extract Content for unauthorized commercial use, or use automated tools that materially burden the Site.
Remove proprietary notices or misrepresent the source of Content.
Submit unlawful content or use the Site to facilitate unlawful conduct.
These restrictions do not prohibit ordinary browser use, permitted search-engine indexing, assistive technologies, lawful security disclosures, or honest consumer reviews protected by law.
5. Project Inquiries & Submitted Materials
Inquiries may include contact details, property information, budgets, desired timelines, plans, photographs, and descriptions of proposed work (“Submitted Materials”).
You retain ownership of your Submitted Materials. You represent that you have the rights and permissions necessary to provide them and allow their use as described in Section 6. Sending materials does not transfer ownership to VCG or authorize public marketing use.
Do not submit passwords, financial-account credentials, or sensitive personal information through ordinary website forms. Before sending confidential plans, security information, or restricted third-party documents, contact VCG to arrange an appropriate delivery method and any necessary confidentiality agreement.
Public posting features, if offered, will identify when materials are intended to be visible to others. An ordinary project inquiry is not permission to publish your plans or personal information.
6. Permission to Use Submissions
By submitting materials, you grant VCG a nonexclusive, royalty-free permission to receive, store, reproduce, review, and share them with personnel and service providers as reasonably necessary to evaluate your inquiry, communicate with you, prepare proposals, or perform an authorized engagement, subject to applicable privacy and confidentiality obligations.
This permission does not authorize the sale of your plans or use of your identity, property details, or project photographs in public advertising without appropriate permission. A separate written agreement may establish additional rights or restrictions.
VCG may use voluntarily provided, nonconfidential suggestions about the Site to improve its operations without compensation. This does not transfer ownership of your project documents or consumer reviews, or authorize disclosure of confidential information.
7. Reviews & Testimonials
Reviews should reflect firsthand experience and honest opinions. They must not contain knowingly false factual claims, unlawful threats, harassment, confidential information, or another person’s private information without authorization.
Nothing in these Terms prohibits honest negative reviews, lawful complaints, or communications with regulators, law enforcement, or consumer-protection agencies.
If the Site accepts public reviews, you retain ownership of your review and grant VCG a nonexclusive, royalty-free permission to host, display, and technically format it for that feature. Any separate marketing use will be subject to appropriate permission. VCG will not materially alter a review’s meaning.
VCG may moderate content for lawful reasons, including spam, privacy violations, threats, or clearly false factual content. A review will not be restricted merely because it expresses an unfavorable opinion. Testimonials describe individual experiences and do not guarantee identical results.
8. Third-Party Websites & Content
The Site may link to manufacturers, suppliers, social-media platforms, mapping services, payment providers, or other third parties. Those resources are governed by their own terms and privacy practices.
VCG does not control independent third-party websites or guarantee their accuracy, security, availability, or performance. Links do not, by themselves, constitute endorsements. Transactions with third parties are subject to the applicable third-party arrangements.
9. Advertising & Promotional Content
If advertisements, sponsored content, or paid promotions appear on the Site, they will be identified as required by law. Third-party advertising does not establish a partnership or guarantee a third party’s products or services.
10. Website Management
VCG may take reasonable steps to operate and protect the Site, investigate suspected misuse, restrict abusive activity, remove content that violates these Terms, and cooperate with lawful requests from authorities.
Monitoring is not a guarantee that all content or activity will be reviewed. Management activities remain subject to applicable law and VCG’s privacy obligations.
11. Privacy & Confidentiality
VCG’s Privacy Policy describes the collection, use, disclosure, and handling of personal information and should be read with these Terms. These Terms do not independently authorize uses of personal information that are inconsistent with that policy or applicable law.
Ordinary email and website forms may involve security risks. An inquiry does not itself create a nondisclosure agreement. Any separately executed confidentiality agreement controls where applicable.
Use of the Site does not, by itself, constitute consent to every form of data processing, international transfer, marketing message, or tracking technology. Any legally required notices and consents must be provided separately.
12. Suspension & Termination
VCG may restrict or suspend website access where reasonably necessary to address a violation of these Terms, protect security, comply with law, or discontinue a feature. Notice will be provided where required by law or reasonably appropriate under the circumstances.
You may discontinue use at any time. Suspension of website access does not cancel an executed project agreement or eliminate either party’s existing obligations under it.
Provisions that by their nature should survive termination—including ownership, limitations of liability, dispute resolution, and accrued obligations—survive to the extent permitted by law.
13. Changes & Website Interruptions
VCG may revise Site content or features and may experience interruptions caused by maintenance, technical issues, service-provider failures, or circumstances beyond its reasonable control. Continuous availability is not guaranteed.
Changes to these Terms will be identified by an updated date. Material changes will receive any additional notice or assent required by applicable law. Revisions apply prospectively and do not retroactively alter an existing dispute without a legally effective agreement.
Continued use following a revision constitutes acceptance only to the extent permitted by applicable law. Website changes do not amend a signed project agreement.
14. Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles, except where applicable federal law or mandatory consumer-protection law requires otherwise. The Federal Arbitration Act governs the arbitration provision to the extent applicable.
15. Dispute Resolution
Informal Resolution
For a dispute arising from these Terms or use of the Site, the parties will first attempt informal resolution for 30 days after written notice describing the issue and requested relief. Notices to VCG should be sent to the email or mailing address in Section 24.
This process does not prevent either party from preserving a filing deadline, pursuing an eligible small-claims matter, reporting concerns to a government agency, or seeking urgent relief authorized below.
Binding Arbitration
Except for the exceptions below, unresolved disputes concerning these Terms or use of the Site will be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) before one neutral arbitrator.
The AAA Consumer Arbitration Rules and applicable consumer fee schedule will apply to consumer disputes. Other disputes will proceed under the applicable AAA Commercial Arbitration Rules. Current rules and filing information are available at www.adr.org.
Arbitration generally replaces a court trial and jury determination, and judicial review of an award is limited. The arbitrator may award relief available under applicable law and will issue a written, reasoned decision.
Fees, hearing format, location, and accessibility will follow applicable law and AAA rules. VCG will pay the costs allocated to it under those requirements. A consumer will not be required to attend an in-person hearing in Kentucky if applicable law or AAA rules require another location or format.
Individual Proceedings
To the extent permitted by law, arbitration will proceed on an individual basis rather than as a class or representative action. This provision does not restrict nonwaivable rights or relief. If this individual-proceeding requirement is unenforceable for a particular claim or request for relief, that portion will proceed in a court of competent jurisdiction rather than class arbitration.
Exceptions & Court Proceedings
Either party may bring an eligible individual claim in small-claims court. Claims involving intellectual-property ownership or infringement, theft, piracy, invasion of privacy, or unauthorized access are excluded from mandatory arbitration. Either party may seek temporary or preliminary court relief where necessary to protect rights pending final resolution. This section does not prevent regulatory complaints or agency proceedings.
For court proceedings permitted by this section, the parties consent to state or federal courts of competent jurisdiction in Kentucky, subject to mandatory jurisdiction, venue, and consumer-protection requirements. If arbitration is unavailable or unenforceable for reasons other than a temporary administrative issue, the affected dispute may proceed in a court of competent jurisdiction.
Applicable statutory filing periods apply. These Terms do not impose a separate one-year deadline for claims.
This section concerns website disputes. Disputes concerning construction work, payment, workmanship, warranties, or project performance are governed by the applicable executed project agreement and controlling law.
16. Accuracy, Estimates & Corrections
VCG may correct typographical errors, omissions, outdated descriptions, or other inaccuracies. Website pricing examples, cost ranges, and anticipated schedules are preliminary unless incorporated into an executed agreement.
Actual costs and timing may depend on scope, site conditions, selections, permitting, inspections, labor, materials, subcontractors, equipment, weather, procurement, and authorized changes.
Portfolio photographs and renderings may depict completed work, work in progress, or concepts, as identified. Examples do not guarantee the same results for another project. General content is not a substitute for site-specific architectural, engineering, legal, financial, or other professional advice.
17. Disclaimer of Warranties
To the extent permitted by law, the Site and its general informational content are provided “as is” and “as available.” VCG disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent those disclaimers are lawful.
VCG does not guarantee uninterrupted access, error-free operation, complete security, or that all content will remain current. These disclaimers do not excuse unlawful conduct or eliminate nonwaivable statutory duties.
Nothing in this section changes a construction warranty, workmanship obligation, or other right established by an executed project agreement or applicable law.
18. Limitations of Liability
To the extent permitted by law, VCG and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from use of, inability to access, or reliance on general information on the Site, including related lost profits or business interruption.
These limitations do not exclude liability for fraud, willful misconduct, gross negligence where exclusion is prohibited, or any liability or remedy that cannot lawfully be limited. They do not limit rights or responsibilities arising under an executed construction or professional-services agreement.
No automatic zero-dollar liability cap applies under these Terms.
19. Indemnification
To the extent permitted by law, you agree to indemnify VCG and its officers, employees, and agents against third-party claims and reasonable resulting costs, including reasonable attorneys’ fees, caused by your unlawful use of the Site, knowing infringement of another party’s rights, or material breach of these Terms.
This obligation applies only to the extent the claim is attributable to your conduct. It does not require you to indemnify VCG for its own negligence, misconduct, or legal violations, or for posting an honest review protected by law.
VCG will provide reasonably prompt notice of a covered claim and reasonable cooperation. No settlement may admit your wrongdoing or impose a nonmonetary obligation on you without your consent. Any defense or cost-reimbursement obligation remains subject to applicable law.
20. Submitted Data & Record Retention
Keep copies of plans, photographs, correspondence, and other documents you submit. The Site is not a substitute for your own document storage or backup system.
VCG will handle retained information according to its Privacy Policy, applicable agreements, and legal obligations. Website submission does not guarantee permanent storage, successful delivery, or restoration of lost materials. Contact VCG to confirm receipt of time-sensitive documents.
Nothing in this section waives rights relating to unlawful loss, disclosure, or misuse of information.
21. Electronic Communications & Signatures
When you contact VCG electronically, VCG may respond electronically about your inquiry or engagement. Where the parties agree to transact electronically, electronic records and signatures may be used to the extent permitted by law.
Any required consumer disclosures, consent procedures, withdrawal rights, and paper-record options remain applicable. Website use does not waive a nonwaivable right to decline future electronic transactions or authorize unrelated marketing communications.
An electronic inquiry does not itself execute a construction contract. Project agreements must satisfy their applicable signature, acceptance, and other legal requirements.
22. Consumer Rights
Nothing in these Terms waives mandatory consumer protections available under applicable state or federal law, including rights concerning honest reviews, privacy, electronic transactions, or access to public authorities.
If a disclaimer, limitation, venue provision, or dispute-resolution requirement is prohibited by law applicable to you, it will apply only to the extent legally permitted. You may contact an appropriate consumer-protection agency without first completing informal negotiations or arbitration.
23. General Provisions
Scope and priority. These Terms and expressly applicable website policies govern use of the Site. An executed project agreement governs the work and prevails over these Terms concerning that engagement. A separate confidentiality agreement controls information covered by it.
Severability. If a provision is held unenforceable, the remaining provisions remain effective to the extent permitted by law, subject to the specific arbitration provisions in Section 15.
No waiver. Failure to enforce a provision on one occasion does not waive that provision or another right.
No agency or partnership. Website use does not create a partnership, joint venture, employment relationship, or agency relationship.
Assignment. VCG may assign these website Terms in connection with a merger, reorganization, or transfer of the relevant business, subject to applicable law and without reducing nonwaivable user protections.
Events beyond reasonable control. Neither party is responsible under these website Terms for a delay caused by events beyond its reasonable control, except where law requires otherwise. Project-related events and remedies are addressed in the applicable project agreement.
